Terms of Service

The website trustpal.app, apps, and related software or features (the “Platform”) is operated by Trust Coalition Inc. o/a Trustpal (“Trustpal”). Throughout the Platform, the terms “we”, “us” and “our” refer to Trustpal. Trustpal offers access and use of the Platform, conditioned upon your compliance with these terms of service stated herein (the “Terms”). By accessing, browsing and using the Platform, you agree to be bound by the Terms and all applicable law. If you do not agree to be bound by the Terms and applicable law each time you use the Platform or you do not have the authority to agree to or accept these Terms, please do not use the Platform.

By using the Platform, you engage in our “Services” and further agree to be bound by the policies referenced herein and/or available by hyperlink.

You can review the most current version of the Terms at any time on this page. We reserve the right to update, change or replace any part of the Terms by posting updates and/or changes to the Platform. It is your responsibility to check this page periodically for changes.

However, if a change will have a material negative effect on you, we’ll use our best efforts to notify you at least 1 month before the change takes effect (e.g. via a notification on the Platform). If you don’t agree with the changes, we ask you to please stop using the Platform and cancel your account. Your continued use of or access to the Platform after any changes to the Terms constitutes acceptance of those changes.

To create an account and become a user of the Platform, you must be at least 18 years of age. If you are creating an account on behalf of another individual, you must have their explicit permission to do so. You are responsible for maintaining the confidentiality and security of your account and ensuring it is used solely in a lawful manner. You are required to provide us with accurate information about yourself, and to promptly notify us of any changes so we can update your details accordingly.

You are responsible for maintaining the confidentiality of your password and for restricting access to the device you use to access the Platform. In the event that the confidentiality of your account or password is compromised in any manner, you must notify us immediately. We reserve the right to take any and all action, as we deem necessary or reasonable, to ensure the security of the Platform and your account, including without limitation, terminating your account, or changing your username or password.

Notwithstanding the above, in no event will we be held liable to you for any costs, liabilities or damages resulting from or arising out of (i) any action or inaction on our part under this provision, (ii) any compromise of the confidentiality of your account or password, and (iii) any unauthorized access to your account or use of your password.

Your submission of personal information through the Platform is governed by our Privacy Policy, which can be viewed here.

For the purposes of these Terms, "content" refers to any text, graphics, videos, links, products, and other materials you add to your profile. You are solely responsible for your content and you warrant that:

• The content you post is your own, or, if utilizing third-party materials, you possess the necessary rights to share them on the Platform (and permit us to use them in accordance with these Terms).
• Your content does not infringe upon any individual's privacy, publicity, intellectual property, or other rights.
• Your content is accurate and truthful; it must not be misleading, deceptive, or in violation of any laws, nor should it harm our reputation.
• Your content is free of harmful elements such as viruses or disruptive code that could damage the Platform or other systems.
• Your content does not contain nudity or any sexually explicit material.

Given that laws and regulations vary across different countries, we may prohibit content that is legal in some regions but not in others. We reserve the right to take appropriate measures to maintain the safety of the Platform, including content removal, account removal, account suspension or access restriction.

When you post content on your profile, you grant us a license to (i) use, publicly display, distribute, modify, adapt, and create derivative works of such content; and (ii) use your name, image, voice, photograph, likeness, and any other personal attributes contained within the content; on the Platform and in our marketing across all media (including our social channels and any other forms of advertising). This license is worldwide, royalty-free, and perpetual, meaning we can use your content globally, without compensating you, for an indefinite period.

You represent and warrant that you have all the necessary third-party rights to post the content on the Platform and to grant us this license. We reserve the right to modify, remove, or restrict access to content at any time in accordance with these Terms, and we may apply a sensitive content warning to material deemed unsuitable for all audiences.

For the purposes of these Terms, "Feedback" refers to any suggestions, comments, recommendations, ideas, or other information provided by you to us relating to the Platform or the Services. You agree to grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, disclose, sublicense, distribute, modify, and exploit such Feedback without any restriction.

Certain content, products and Services available via our Platform may include materials from third-parties. Third-party links on this Platform may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or Services of third-parties.

We are not liable for any harm or damages related to the use of the Platform, the provision of the Services, the purchase of goods or services through the Platform, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.

In addition to other prohibitions as set forth in the Terms, you are prohibited from using the Platform or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Platform; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose, including the posting of nudity or sexually explicit material; or (k) to interfere with or circumvent the security features of the Platform. We reserve the right to terminate your use of the Platform for violating any of the prohibited uses.

In no event shall Trustpal be liable for any direct, special, punitive, indirect or consequential damages, or any other damages of any kind, including but not limited to loss of use, loss of profits, or loss of data, arising out of or in any way connected with Trustpal’s operation of the Platform or with the use or inability to use the Platform, or the content accessed through the Platform.

Our liability to you under these Terms or in relation to the use of the Platform will not exceed $5.

When you use Trustpal and access any content on the Platform, you do so at your own risk. The Platform is provided “AS IS” and “AS AVAILABLE,” without any warranties, express or implied, including but not limited to, availability, merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Trustpal does not warrant or represent that:

• The Platform will function uninterrupted, securely, or be available at any specific time or place;
• Any errors or defects will be corrected;
• The Platform is free of viruses or harmful components;
• The Platform will be effective or meet your needs; or
• Any content on the Platform is complete, accurate, reliable, suitable, or available for any purpose.

In the event that any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms, such determination shall not affect the validity and enforceability of any other remaining provisions.

Notwithstanding any of these Terms, including if, in our sole judgment, you fail, or we suspect that you have failed, to comply with any of these Terms, we reserve the right, without notice and in our sole discretion, to terminate your access to and use of the Platform, and to block or prevent future access to and use of the Platform if you violate any of these Terms. Upon termination, these Terms shall still apply.

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms and any policies or operating rules posted by us on this Platform or in respect to the Services constitutes the entire agreement and understanding between you and us and governs your use of the Platform, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms).

These Terms shall be governed by and construed in accordance with the laws of the province of Quebec and federal laws of Canada. Regardless of where you access the Platform, you agree that any action arising out of or relating to these Terms shall be filed and adjudicated only in the provincial courts located in Quebec (Judicial District of Montreal), and you consent to the exclusive jurisdiction and venue of such courts over any suit, action or proceeding arising out of these Terms.

If you have any concern or dispute about the Services or Platform, you agree to first try to resolve the dispute informally by contacting us.

These Terms are drawn up in English and in French versions. In case of any dispute, the English language version shall prevail.
